Terms of Service

1. Acceptance of Terms

By accessing and using Carrier Benchmark ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily access and use the materials (information or software) on Carrier Benchmark's platform for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or for any public display (commercial or non-commercial)
• Attempt to decompile or reverse engineer any software contained on Carrier Benchmark's platform
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. Service Description

Carrier Benchmark provides a cloud-based software platform for trucking companies to manage driver compliance, documentation, and fleet operations. Our services include but are not limited to:

• Driver document management and tracking
• Compliance monitoring and reporting
• Digital signature capabilities
• Credential expiration tracking
• Multi-tenant data management

4. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.

5. Subscription and Billing

Some parts of the Service are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly basis.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Carrier Benchmark cancels it. You may cancel your Subscription renewal through your account settings or by contacting customer support.

6. Fee Changes

Carrier Benchmark, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

7. Refunds

Except when required by law, paid Subscription fees are non-refundable. Certain refund requests for Subscriptions may be considered by Carrier Benchmark on a case-by-case basis and granted at the sole discretion of Carrier Benchmark.

8. Data Security and Privacy

We take the security of your data seriously. All data is encrypted in transit using industry-standard SSL/TLS protocols. Sensitive information such as Social Security Numbers is encrypted at rest using AES-256 encryption.

9. Acceptable Use

You agree not to use the Service:

• For any unlawful purpose or to solicit others to perform or participate in any unlawful acts
• To violate any international, federal, provincial or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To interfere with or circumvent the security features of the Service

10. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Carrier Benchmark, LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

12. Limitation of Liability

In no event shall Carrier Benchmark, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

13. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of Georgia, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
